SILENZIO SOCIAL CLUB — MEMBERSHIP BYLAWS

ARTICLE IV — MEMBERSHIP AND GUEST ACCESS

Section 4.1 — Guest Privileges
(a) Members in good standing may extend the privilege of the Club to their invited guests, sharing the spirit of Silenzio’s hospitality and discretion.
(b) Members may host up to six (6) guests for dining per visit.
(c) Members may invite up to three (3) guests at the bar for cocktails and conversation.
(d) Private Dining Room reservations may be arranged for larger gatherings through Club Management, subject to availability and prior approval.
(e) Members are fully responsible for the behavior, attire, and accounts of their guests.
(f) To preserve the integrity of membership and the exclusivity of the Club, members must accompany their guests at all times while on the premises. Guests may not remain in the Club unaccompanied, nor may a member extend access privileges in their absence.

Section 4.2 — Daily Guest Access
(a) Non-members may, on occasion, be extended the courtesy of a one-day guest pass, offered solely at the discretion of Club Management.
(b) This privilege allows prospective members to experience the unique atmosphere and service of Silenzio Social Club.
(c) Club Management reserves the right to limit or withdraw this courtesy at any time without explanation.

ARTICLE V — DRESS, CONDUCT, AND PRIVACY

Section 5.1 — Standards of Presentation
(a) Silenzio Social Club reflects a cultivated environment of elegance and ease. Members and guests are expected to present themselves in attire befitting the setting, balancing personal style with the Club’s tradition of refinement.
(b) The following attire is not permitted within the Club:
   1. Shorts, sweatshirts, or sweatpants
   2. Baseball caps, sports hats, or beanies
   3. Uncovered sports bras or bra-style tops
   4. Excessively revealing attire or exposed undergarments
   5. Clothing featuring offensive language or imagery
   6. Flip-flops or sports slides
(c) Men’s shirts must have sleeves.
(d) Members are kindly asked to ensure their guests adhere to these same standards.

Section 5.2 — Conduct and Courtesy
(a) The essence of Silenzio lies in its discretion, warmth, and mutual respect among members.
(b) Courtesy toward fellow members, guests, and staff is expected at all times.
(c) Conduct that disrupts the peace or diminishes the reputation of the Club shall not be tolerated.
(d) In keeping with the Club’s spirit of quiet conversation and privacy, phone calls, video chats, and speaker use are not permitted in dining or bar areas. All devices must remain silenced while in the Club. Calls should be taken discreetly at the entrance or outside.

Section 5.3 — Privacy and Photography
(a) The Club is a sanctuary for conversation, connection, and repose. To honor this environment, unauthorized photography, filming, or recording of any kind is strictly prohibited without the express consent of both the subject and Club Management.
(b) Members and guests are reminded that privacy is a hallmark of the Silenzio experience; discretion is to be observed at all times.
(c) Any violation of privacy or confidentiality may result in suspension or termination of privileges.

ARTICLE VI — MEMBERSHIP FEES AND CLUB AUTHORITY

Section 6.1 — Initiation Fee
(a) Admission to Silenzio Social Club requires a one-time, non-refundable Initiation Fee, payable upon acceptance of membership.
(b) The Initiation Fee reflects the privilege of joining the Club and does not renew annually.

Section 6.2 — Annual Membership Fee
(a) The Annual Membership Fee provides members access to the Club’s private dining rooms, bar, and member-only privileges for one (1) calendar year.
(b) Renewal is required to maintain active status and continued access to the Club.

Section 6.3 — General Provisions
(a) All fees and assessments are determined by Club Management and are subject to change at its discretion.
(b) Fees are non-transferable and non-refundable, except as required by law.
(c) Members are responsible for maintaining current contact and billing information with the Club.

Section 6.4 — Conduct Review and Disciplinary Authority
(a) Membership in Silenzio is a privilege extended to those who embody its spirit of civility, discretion, and respect.
(b) Club Management reserves the right to suspend, restrict, or terminate membership of any individual whose behavior is deemed inconsistent with the standards and values of the Club.
(c) All disciplinary decisions shall be made with fairness and finality, at the sole discretion of Club Management.

ARTICLE VII — SERVICE CHARGES AND GRATUITIES

Section 7.1 — Standard Service Charge
(a) An automatic service charge of twenty percent (20%) shall be applied to all private-dining food and beverage checks.
(b) This service charge is pooled and distributed among front- and back-of-house staff to ensure the highest standard of hospitality throughout the Club.
(c) Gratuities are not required in addition to the service charge unless exceptional service is provided.

Section 7.2 — Exceptional Service Gratuity
(a) Additional gratuities offered in recognition of exceptional service will be directed solely to the staff member(s) who personally attended the member or guest.
(b) Such gratuities are entirely voluntary and will be managed with discretion and transparency.
